Customer Master Agreement

Definitions
Key terms such as Advance Account, Agreement, Business Day, Confidential Information, OrderBox, and Parent Products are defined to ensure clarity in interpretation.
Customer Product Agreement Extensions
Specific product agreements may apply depending on services purchased. These extensions take precedence over general terms when conflicts arise.
Obligations
WHONS provides updated agreements and services. Customers must maintain accurate records, comply with terms, and acknowledge that OrderBox data prevails in case of disputes.
Rights of WHONS
WHONS reserves the right to modify services, pricing, and access to OrderBox. Orders may be denied or cancelled under certain conditions to protect service integrity.
Term & Termination
Agreements are valid for one year and automatically renew unless terminated. Termination may occur due to breach, insolvency, misrepresentation, or non‑renewal.
Fees & Renewal
Customers must pay applicable fees. Orders expire if renewal fees are unpaid, and ownership reverts to WHONS. Renewal after expiry may not restore the order in its original form.
Limitation of Liability
WHONS and its service providers are not liable for indirect, incidental, or consequential damages. Liability is limited to amounts paid by the customer in the preceding three months.
Indemnification
Customers agree to indemnify WHONS against claims arising from misuse, infringement, or breach of agreement terms.
Intellectual Property
Each party retains ownership of its intellectual property. No licenses or commercial use rights are granted under this agreement.
Ownership & Use of Data
WHONS owns all data in the OrderBox Database and may process, publish, or disclose it as required to fulfill services or comply with agreements.
